Terms of Service
Last updated: October 28, 2026
1. The parties
These Terms of Service ("Terms") are an agreement between DPC Pro ("DPC Pro," "we," "us") and the medical practice or organization that signs up for DPC Pro ("Practice," "you").
The person who accepts these Terms for a Practice confirms that they have authority to bind the Practice. By creating an account or using DPC Pro, you agree to these Terms, our Privacy Policy, and our Billing, Refund & Cancellation Policy.
"Services" means the DPC Pro platform at app.dpcpro.com, its features (including memberships, billing, scheduling, clinical records, messaging, and the AI assistant), and related support.
2. Accounts, eligibility, and authorized users
- DPC Pro is for healthcare practices and organizations in the United States. It is not for personal or consumer use.
- You must give accurate information when you sign up, and keep it current.
- You may give access to your staff and contractors ("Authorized Users"). You are responsible for what your Authorized Users do in your account.
- Each Authorized User must have their own login. Keep login details secret. Tell us at once if you think someone used your account without permission.
3. Subscription and billing
- Fees. You pay the subscription fees shown on our Pricing section or in your account when you sign up. Fees are billed monthly in advance, in U.S. dollars.
- No free trial. DPC Pro does not offer a free trial. Billing starts when your subscription starts.
- No setup fees or long-term contracts. You can cancel at any time. See our Billing, Refund & Cancellation Policy.
- Payment method. You authorize us to charge your payment method on file (bank account or card) for all fees when due.
- Price changes. We may change our prices. We will give you at least 30 days' notice by email or in the Services before a new price applies to you. If you do not agree, you can cancel before the change takes effect.
- Taxes. Fees do not include taxes. You pay any sales, use, or similar taxes that apply, other than taxes on our income.
- Late payment. If a payment fails and is not fixed after we notify you, we may suspend the Services until the account is paid.
4. Patient payments through Stripe
DPC Pro lets you collect membership fees and other payments from your patients. These payments run on Stripe Connect.
- Stripe account. To receive patient payments, you must open a Stripe connected account through DPC Pro and accept the Stripe Connected Account Agreement, which includes the Stripe Services Agreement (together, the "Stripe Terms"). Stripe may update the Stripe Terms from time to time. You authorize us to share information about you and your transactions with Stripe, and to obtain information from Stripe about your account.
- Merchant of record. DPC Pro is the merchant of record for patient payments collected through the Services. This means the charge is made by DPC Pro on your behalf, and DPC Pro handles card disputes with the card networks. You remain the provider of all healthcare services and the party that sets your prices and terms with your patients.
- Payouts. Patient payments settle to DPC Pro's Stripe account. We then transfer them, less Stripe's payment-processing fees, refunds, and disputes, to your connected account on the payout schedule shown in the Services. Stripe then pays out to your bank account under the Stripe Terms.
- Processing fees. You pay Stripe's payment-processing fees on your patient payments. DPC Pro does not add its own fee to patient payments.
- Refunds and disputes. Refunds you issue, and disputes (chargebacks) that patients win, reduce the amount paid out to you. If an amount was already paid out, we may deduct it from future payouts or invoice you for it.
- Not a bank. DPC Pro is not a bank or escrow agent. Patient payments stay in DPC Pro's Stripe account balance only until they are transferred to your connected account. We do not pay interest on any funds.
5. Payment security
Payments on DPC Pro are processed by Stripe, a PCI DSS Level 1 certified payment processor. Card and bank details go directly to Stripe over an encrypted (HTTPS/TLS) connection, and DPC Pro does not store full card numbers or bank account numbers on its servers. See Payment security in our Privacy Policy.
6. Your responsibilities
- Clinical care. You and your clinicians are solely responsible for all clinical care and medical decisions. DPC Pro is a software tool. It does not practice medicine and does not give medical advice.
- AI features. AI output can be wrong or incomplete. Review it before you rely on it. Do not enter patient information into AI features.
- Patient consent and notices. You are responsible for getting any consent your patients must give, and for giving them your Notice of Privacy Practices and other required notices.
- Compliance with law. You must follow all laws that apply to your practice. These include healthcare, privacy, consumer-protection, and DPC membership laws in your state.
- Your patient terms. You set your own membership prices, refund rules, and cancellation terms for your patients. You must make them clear to your patients and honor them.
- Accuracy. You are responsible for the accuracy of the data you and your patients enter.
7. HIPAA, data ownership, and data export
- Business Associate Agreement. We act as your business associate under HIPAA. Our Business Associate Agreement ("BAA") with you is part of these Terms. If these Terms conflict with the BAA about protected health information, the BAA controls.
- You own your data. You own all data that you, your Authorized Users, and your patients enter into the Services ("Practice Data"). You give us permission to use Practice Data only to provide, secure, and support the Services, as allowed by the BAA and the law.
- Data export. You can export your Practice Data while your account is active. After you cancel, you have 30 days to request an export. After that, we may delete Practice Data as the BAA allows, unless the law requires us to keep it.
- Service data. We may use data about how the Services perform, with no patient identifiers, to operate and improve the Services.
8. Acceptable use
You must not, and must not let anyone else:
- use the Services for anything illegal, fraudulent, or harmful;
- process payments for anything other than your own legitimate healthcare services, or for any business that the Stripe Terms prohibit;
- send spam or messages that patients did not agree to receive;
- try to get into accounts, systems, or data you are not allowed to access, or test the security of the Services without our written permission;
- upload malware, or disrupt or overload the Services;
- copy, resell, or reverse engineer the Services, except where the law allows it; or
- use the Services to build a competing product.
9. Intellectual property
We own the Services, including the software, design, documentation, and the DPC Pro name and logo. While your subscription is active, we give you a limited, non-exclusive, non-transferable right to use the Services for your practice under these Terms. If you send us feedback or ideas, we may use them without any duty to you.
10. Disclaimers
The Services are provided "as is" and "as available." To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Services will be uninterrupted or error-free. AI features can produce wrong or incomplete output.
11. Limitation of liability
To the extent the law allows: (a) neither party is liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data; and (b) each party's total liability arising out of these Terms is limited to the fees you paid us in the 12 months before the event that caused the claim.
These limits do not apply to your payment obligations, to our obligation to transfer patient payments owed to you, to either party's indemnity obligations, or to liability that the law does not allow us to limit.
12. Indemnity
You will defend and indemnify DPC Pro and its officers, employees, and agents against third-party claims, and related losses and costs (including reasonable attorneys' fees), that arise from: your clinical services; your breach of these Terms or the law; your patient terms, prices, refunds, or disputes; or Practice Data you provide.
We will defend and indemnify you against third-party claims that the Services, as we provide them, infringe a U.S. patent, copyright, or trademark.
13. Termination
- By you. You can cancel at any time in your account settings or by contacting us. Cancellation takes effect at the end of your current billing period. See our Billing, Refund & Cancellation Policy.
- By us. We may suspend or end your access if you materially breach these Terms and do not fix the breach within 10 days after notice, if you do not pay, or at once if your use creates a security, legal, or fraud risk. We may also end the Services for convenience with at least 30 days' notice. If we do, we refund any prepaid fees for the unused part of your billing period.
- After termination. Your right to use the Services ends. Amounts you owe, including refunds and disputes on patient payments, remain due. Data export works as described in Section 7. Sections that by their nature should survive (including 4, 7, 9, 10, 11, 12, and 14) survive.
14. Governing law
The laws of the State of Nebraska govern these Terms, without regard to its conflict-of-laws rules. Any lawsuit about these Terms must be brought in the state or federal courts located in Douglas County, Nebraska, and both parties consent to the jurisdiction of those courts.
15. Changes to these terms
We may update these Terms. When we do, we change the "Last updated" date at the top. If a change is material, we will tell you by email or in the Services at least 30 days before it takes effect. If you keep using the Services after the change takes effect, you accept the new Terms.
16. General
These Terms, the BAA, and any order form are the entire agreement between us about the Services. You may not assign these Terms without our consent, except to a successor of your practice. If a court finds part of these Terms unenforceable, the rest stays in effect. A failure to enforce a right is not a waiver.
